Club Constitution

ARTICLE 1
Name and Object

SECTION 1. NAME:
The name of this organization shall be the Catholic Woman’s Club to be located in Tacoma, Pierce County, and State of Washington. Location in Pierce County shall not prevent membership in the club of any Catholic woman residing out of the county and able to assume all responsibility of club membership

SECTION 2. OBJECT:
This organization is organized exclusively for charitable, religious, and educational purposes in Pierce County, including those pertaining to Catholic Community Services of Tacoma, under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

SECTION 3. MOTTO:
The motto for the club shall be “Pro Deo Pro Patria”-“For God and for Country.”

SECTION 4. COLORS:
The colors of the Club shall be Red and White, the red signifying love of Country, and the white signifying integrity.

SECTION 5. SEAL:
The seal of the Club shall be the Cross mounted on an oval plate, surrounded by the Club colors, and containing the Motto of the club and the letters “C.W.C.” signifying Catholic Woman’s Club.

SECTION 6. DISSOLUTION:
Upon dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

ARTICLE 2
Membership

SECTION 1. REQUISITES OF MEMBERSHIP:
The requisites of membership shall be in good standing as a Catholic, have integrity, and the willingness and ability to assume Club responsibilities.

SECTION 2. CLASSES OF MEMBERSHIP:
Members shall be divided into six classes: Active, Part-Time Active, On- Leave, Associate, Non-Resident, and Honorary.

ARTICLE 3
Officers and Directors

SECTION 1. OFFICERS:
There shall be a President and a President-Elect, Corresponding Secretary, Recording Secretary, Treasurer, and Historian. The foregoing officers shall be elected annually.

SECTION 2. BOARD OF DIRECTORS:
The Board of Directors shall be made up of the officers named in Section 1 of this Article, the Immediate Past President, the Chairman of the Budget Committee, and other Directors to be elected from the body of the Club.

SECTION 3. EXECUTIVE COMMITTEE:
The Officers and the Chairman of the Budget Committee shall constitute the Executive Committee, and they shall have the power to conduct emergency business between meetings.

SECTION 4. CHAPLAIN:
The Executive Committee will submit the name of the Chaplain to the Board of Directors for approval.

ARTICLE 4
Meetings

SECTION 1. REGULAR MEETINGS:
Regular meetings shall be held monthly from September through May with the following exceptions:

  • The Planning Committee shall decide to have either a regular meeting or a social function in December.
  • The President shall decide whether or not to dispense with a business meeting on the Day of Recollection.

SECTION 2. ANNUAL MEETING:
There shall be an Annual Meeting the second Wednesday in April at which time officers and members of the Board of Directors shall be elected.

SECTION 3. RULES OF ORDER:
Robert’s Rules of Order shall be parliamentary authority for all matters or procedures not specifically covered by this Constitution and By-Laws.

ARTICLE 5
Amendments

SECTION 1. AMENDING CONSTITUTION AND BY-LAWS:
The Constitution and By-Laws may be altered, amended, or repealed at any regular meeting of the Club by a two-thirds vote of the members present.

SECTION 2. METHOD:
The proposed amendment shall be given to the Corresponding Secretary in writing, and shall be signed by fifteen members in good standing, or by a majority vote of the Board of Directors. A printed notice of said amendment shall be distributed to every member not less than ten days before the vote is taken. Announcement shall also be made by the presiding officer at the meeting preceding that meeting at which the vote is to be taken.
